ARTICLE I - NAME AND PURPOSE

Section 1 - The name of the club shall be Fayetteville Disc Association.

Section 2 - The primary purpose of the club shall be to facilitate the awareness of and participation the game of Ultimate in our community, but shall also include other purposes such as:
* To maintain "Spirit of the Game" as athletes and as administrators;
* To promote the growth of Ultimate in our community;
* To own or lease property for club uses;
* To provide a medium for the exchange of Ultimate information;
* To develop and maintain a fraternal interest among Ultimate players and other recreational interests;
* To act within the above principles and transact any and all lawful business for the successful operation of the club and in the general public interest.

ARTICLE II - MEMBERSHIP

Section 1 - Membership shall be open to any and all enthusiasts of the sport of Ultimate, conditioned only on the timely payment of the membership dues in such amounts as may be determined by the Executive Committee from time to time. Membership in the club and the opportunity to participate in the club's activities shall be provided on an equal basis without regard to race, color, religion, age, sex, or national origin.

Section 2 - Members are encouraged to join the United States national organization, The Ultimate Players Association.

Section 3 - A member may resign from the club at any time.

Section 4 - Membership may be terminated by a majority vote of the Executive Committee and written notice of the cause, pursuant to the terms of Article X.

Section 5 - The amount of dues, as well as the time for their payment shall be determined by action of the Executive committee.

ARTICLE III - FISCAL YEAR

Section 1 - The fiscal year of the club shall commence on the first day of January and end on the last day of December of each year.

ARTICLE IV - MANAGEMENT

Section 1 - The management of the club is vested in the Officers of the Executive Committee.

ARTICLE V - OFFICERS OF THE EXECUTIVE COMMITTEE

Section 1 - The officers of the club shall be President, Vice-President/Secretary, Treasurer, Social Chairperson, and Public Relations/Fundraising Officer.

Section 2 - The officers shall be elected by the general members at the annual meeting. Vacancies occurring between such elections shall be filled for the remainder of the term by Executive Committee appointment. Any officer may be removed with or without cause by a majority vote of the Executive Committee or a two-thirds vote of the general membership at any open meeting.

Section 2 -1 (Amended 6-00) Nominations:
Any current member may be nominated for an executive position without regard to race, color, religion, age, sex, or national origin. Members may be nominated for only one position on the Executive Committee at a time and must accept or decline the nomination before that office's nominations are closed.

Section 3 - Each officer will hold their office for 1 year or until their successors have been elected and qualified. (Amended 12-05)Term limits are removed.

Section 4 - The President shall preside at all meetings of the club and of its Executive Committee; shall oversee and coordinate such committees as are authorized by the Executive Committee; shall carry out all responsibilities assigned to him/her by these Bylaws or the Executive Committee. The Executive Committee may authorize the President to act legally on behalf of the organization. This may be general or confined to specific circumstances.

Section 5- The Vice-President/Secretary shall coordinate all special projects; shall facilitate communication between officers; shall perform the duties of the President during absence or temporary incapacity of the President. The Vice-President/Secretary shall have the duty to see that all notices are dully given in accordance with these Bylaws and the laws of our community; shall keep all club records, except financial records, including minutes of meetings, roster of members, list of committees and their members; shall send out notices, by phone or by mail, of all meetings; shall receive applications of membership; shall discharge of the usual secretarial function as directed by the Executive Committee.

Section 6- The Treasurer shall keep an account of all monies received and expended of use by the club; shall sign all checks, drafts, notes, and orders of payment of money authorized by the Executive Committee. A Treasurer's report will be made at each annual meeting. The Executive Committee may delegate other financial responsibilities or request a report within the year to be performed by the Treasurer.

Section 7 - The Social Chairperson shall coordinate all club events; shall keep a phone list of all members; shall inform, by mail or by phone, all members of club activities; shall oversee and distribute a newsletter for members and sponsors; shall fulfill any other duties the Executive Committee may assign him/her.

Section 8 - The Public Relations/Fundraising Officer shall coordinate and oversee all fundraising activities; shall keep the members and the Executive Committee informed of all fundraising events; shall fulfill any other duties the Executive Committee may assign him/her. The Public Relations/Fundraising Officer shall represent the club to the general public; shall attend or send a representative to any civic or recreational meetings within the community that affect the club.

Section 9 - All officers shall have such other powers and duties as are required by law.

ARTICLE VI - MEETINGS

Section 1 - The Annual Meeting of all members shall be held at the time and place designated by the Executive Committee. The major business of this meeting shall be the election of the Officers of the Executive Committee.

Section 2 - Regular meetings of the club shall be held no less frequently than quarterly at the time and place fixed by resolution at the previous meeting or as designated by the President or the Executive Committee.

Section 3 - Special meetings of the club may be called by the Executive Committee, or by the President, or by any group of five members (in addition to a majority of the Executive Committee Officers) by giving adequate notice (five business days) of the time, place, and purpose of such special meetings.

Section 4 - Written notice of the time and place of the Annual Meeting and all other regular meetings shall be prepared and distributed to the membership by the Vice-President/Secretary.

Section 5 - An attendance of 20% of the membership and all the Officers at any duly called meeting shall constitute a quorum. Any formal action taken at any meeting of the membership shall require a majority vote of those members present. Each member age 18 and older shall be entitled to one vote. A member may send their vote by proxy, provided it is supplied in writing to the Vice- President/Secretary prior to the meeting.

ARTICLE VII - NEWSLETTER
Section 1 - The organization will publish, not less than twice annually, a newsletter which shall serve as the primary vehicle for the dissemination of information to the members and for the exchange of opinions between members. The newsletter shall be the responsibility of the Public Relations Officer and shall include an annual financial report form the Treasurer.

ARTICLE VIII - THE RULES OF ULTIMATE

Section 1 - The Official Rules of Ultimate as most recently published and determined by the Ultimate Players Association shall serve as our official rules.

Section 2 - Tournament rules my be altered from the Official Rules if agreed upon by the majority of Captains present at the tournament Captain's Meeting and must be fully communicated to team spokesperson's prior to the commencement of play.

ARTICLE IX - AMENDMENTS

Section 1 (Amended 6-00) - These Bylaws may be amended, repealed, or altered in whole or in part by a vote of the EC or a majority vote of the members of the club at the Annual Meeting, or at any meeting of the club provided thirty days notice of intent to amend is published.

ARTICLE X - DISCIPLINE

Section 1 - In any event sponsored or sanctioned by the organization, the highest ranking officer shall have the power to suspend any player from further participation in that event or activity for repeated and deliberate injurious behavior or for repeated and deliberate disregard of the Rules of Ultimate (** or the Bylaws **). Such actions shall be reviewed by the Executive Committee.

Section 2 - The Executive Committee shall have the authority to suspend any player or team from club sanctioned activities for a period of up to one year for conduct it deems to be in violation of the Rules of Ultimate or prejudicial to the interests of the organization and its membership. No such action shall be taken until the player or teams involved have been given notice of the pending charges and have been given a chance to present a defense to the Executive Committee.
